MHM Holding GmbH EUR 300 million Syndicated Term Loan and Revolving Credit Facility

Munich – MHM Holding GmbH (“hubergroup” or the “Company”) has successfully signed a EUR 300,000,000 Single Currency Term Loan and Revolving Credit Facility (the “Facility”) with a selective number of core relationship banks.

The new 3-year Facility replaces hubergroup’s existing EUR 75,000,000 facility dated 20 June 2011 and EUR 215,000,000 facility dated 09 February 2010 along with other bilateral facilities. The new Facility is available for working capital and general corporate purposes.

The syndication of the Facility launched with an amount of EUR 275,000,000 closed oversubscribed. The success of the syndication process underlines the bank´s confidence in hubergroup’s credit quality and standing.

The syndication process was lead by Bayerische Landesbank (“BayernLB”), Commerzbank Aktiengesellschaft (“Commerzbank”), NORD/LB Norddeutsche Landesbank (“NORD/LB”) and UniCredit Bank AG (“UniCredit”) as Mandated Lead Arrangers and Coordinating Bookrunner. UniCredit Luxembourg S.A. acts as Facility Agent, UniCredit Bank AG as Security Agent. Commerzbank Aktiengesellschaft acted as Documentation Agent.

The syndicate of the Facility includes:

• BayernLB, Commerzbank Aktiengesellschaft, NORD/LB Norddeutsche Landesbank and UniCredit Bank AG as Mandated Lead Arrangers and Coordinating Bookrunner.

• IKB Deutsche Industriebank AG, Düsseldorf and WestLB AG as Mandated Lead Arranger

• Deutsche Postbank International S.A. Luxemburg and LfA Förderbank Bayern as Lead Arranger

• KBC Bank Deutschland as Co-Arranger
